Website and SaaS Terms of Use
Last updated: February 14, 2025
These Website and SaaS Terms of Use ("Terms") govern your access to hubbly.io and any Hubbly software, beta program, or related service that expressly incorporates these Terms (collectively, the "Services"). The Services are offered by The Hubbly Corporation ("Hubbly," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms. If you use the Services for an organization, you represent that you have authority to bind that organization.
Eligibility and service scope
You must be legally able to enter into these Terms. The public website provides information and ways to contact Hubbly; it does not create an account, purchase, subscription, or right to receive a product. Any paid, beta, pilot, or customer service may require a separate order form, subscription agreement, or written approval that describes the applicable scope, fees, support, and service terms.
Hubbly may change, suspend, or discontinue all or part of the Services, including beta features, to the extent permitted by law and applicable agreements. A product description is not a guarantee that a feature will be available, suitable for a particular purpose, or produce a particular result.
Permitted use
You may use the public website for lawful business and informational purposes and any authorized Service only as permitted by these Terms and any applicable written agreement. You are responsible for information, credentials, content, and instructions you provide, and for obtaining all necessary rights, notices, and consents for them.
- Do not violate law, infringe rights, or submit unlawful, harmful, deceptive, or unauthorized content.
- Do not interfere with, probe, scan, overload, reverse engineer, or circumvent the security or operation of the Services except where law prohibits that restriction.
- Do not use the Services to distribute malware, spam, or material that is discriminatory, abusive, or fraudulent.
- Do not represent that Hubbly guarantees rankings, citations, search results, or other outcomes.
Customer content and instructions
You retain ownership of content you provide to Hubbly. You grant Hubbly a non-exclusive, worldwide, royalty-free right to host, reproduce, modify, and process that content only as needed to provide, maintain, secure, and improve the Services, comply with law, and enforce these Terms. You represent that you have the rights needed to grant this permission.
You are responsible for reviewing outputs and approving consequential actions in accordance with the Service controls made available to you. Search platforms, browsers, networks, and other third parties operate independently of Hubbly, and their actions or results are outside Hubbly’s control.
Intellectual property and feedback
The Services, including their software, designs, trademarks, documentation, and other Hubbly materials, are owned by Hubbly or its licensors and are protected by law. Except for the limited right to use the Services as expressly allowed, no rights are granted. Hubbly and Hubbly Rank are trademarks or service marks of The Hubbly Corporation or its licensors.
If you provide suggestions, ideas, or feedback, you grant Hubbly a non-exclusive, worldwide, perpetual, irrevocable, royalty-free right to use and incorporate it without restriction or compensation, provided we do not identify you as the source without permission.
Third-party services
The Services may work with or link to third-party websites, platforms, plugins, or providers. Your use of those services is governed by their terms and privacy notices. Hubbly is not responsible for third-party services, their availability, or changes they make.
Confidentiality
If Hubbly and you exchange non-public information that is identified as confidential or should reasonably be understood as confidential, the receiving party will use reasonable care to protect it and use it only for the business relationship. Confidential information does not include information that becomes public without breach, was already known without a duty of confidence, is independently developed, or is rightfully received from a third party. A party may disclose confidential information when required by law after giving notice where legally permitted.
Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, HUBBLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
Hubbly does not guarantee search rankings, AI citations, traffic, leads, revenue, indexing, availability of third-party platforms, or any other business outcome. Information on the public website is for general informational purposes and is not legal, financial, or professional advice.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HUBBLY AND ITS AFFILIATES, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE FULLEST EXTENT PERMITTED BY LAW, HUBBLY’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO HUBBLY FOR THE APPLICABLE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS IF YOU PAID NO FEES. Some jurisdictions do not allow certain limitations, so these limits apply only to the extent permitted by law.
Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless Hubbly and its affiliates, officers, directors, employees, and agents from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Services in violation of these Terms or law, or your infringement or violation of another party’s rights.
Termination
You may stop using the public website at any time. Hubbly may suspend or terminate access to the Services if we reasonably believe there is a violation of these Terms, a security risk, a legal requirement, or a need to protect Hubbly, customers, or others. Any provisions that by their nature should survive, including intellectual property, disclaimers, limits of liability, indemnity, and governing law, will survive.
Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Except where applicable law requires otherwise, the state and federal courts located in Travis County, Texas have exclusive jurisdiction over disputes arising from these Terms or the Services, and each party consents to their jurisdiction and venue. Nothing in these Terms limits either party’s right to seek equitable relief for actual or threatened misuse of intellectual property or confidential information.
Changes and contact
We may update these Terms from time to time. The updated Terms take effect when posted unless a different effective date is stated. Your continued use after the effective date means you accept the updated Terms, to the extent permitted by law. If a separate written agreement conflicts with these Terms, that agreement controls for the subject it addresses.
